1. Acceptance of Terms

By creating an account, subscribing to a plan, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Service.

2. Description of Service

Lattice provides AI-powered project planning and code quality tools, including:

• Lattice Core: Free AI guardrails and verification tools for existing projects
• Lattice Architect: Paid AI project planning service that generates project guides, tech stacks, CI/CD workflows, and setup commands
• Support Services: Customer support through our ticketing system

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service. By using our Service, you represent and warrant that you meet these requirements.

3.2 Account Creation

To use paid features, you must:

• Subscribe to a paid plan through Stripe
• Complete payment verification
• Create an account after successful payment

Lattice Core is available without account creation, but account creation is required for Lattice Architect features.

3.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4. Subscription Plans and Pricing

4.1 Available Plans

We offer the following subscription tiers:

• Lattice Core: Free forever
• Starter: $20/month or $199/year (5 Basic + 5 Pro planning projects per month)
• Pro: $50/month or $499/year (15 Basic + 15 Pro planning projects per month)
• Power: $100/month or $999/year (40 Basic + 40 Pro planning projects per month)

4.2 Billing

All payments are processed through Stripe. By subscribing, you agree to:

• Pay the subscription fee for your chosen plan
• Automatic renewal at the end of each billing period (monthly or annual)
• Stripe's terms and conditions for payment processing

4.3 Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect your current billing period but will apply to subsequent renewals. We will notify you of any price changes at least 30 days in advance.

5. Usage Limits and Quotas

Each subscription plan includes monthly quotas for project planning:

• Quotas reset at the beginning of each billing cycle
• Unused projects do not roll over to the next month
• You can upgrade your plan at any time to access higher quotas
• If you exceed your quota, you must wait until the next billing cycle or upgrade your plan

6. Cancellation and Refunds

6.1 Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting us. Cancellation takes effect at the end of your current billing period. You will continue to have access to paid features until the end of the billing period.

6.2 Refunds

We offer refunds on a case-by-case basis. Generally:

• Refund requests must be made within 14 days of the initial purchase
• Refunds are prorated based on unused time in the billing period
• Refunds are processed through Stripe and may take 5-10 business days
• We reserve the right to deny refunds for accounts that have violated these Terms

7. User Conduct and Prohibited Uses

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) to access the Service without permission
• Share your account credentials with others
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to generate content that is illegal, harmful, or violates others' rights
• Impersonate any person or entity or misrepresent your affiliation

8. Intellectual Property

8.1 Our Content

The Service, including all content, features, and functionality, is owned by Lattice and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

8.2 Your Content

You retain ownership of any projects, code, or content you create using our Service. By using our Service, you grant us a limited license to:

• Store and process your content to provide the Service
• Use anonymized, aggregated data for service improvement

9. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted or error-free service. We may:

• Perform scheduled maintenance with reasonable notice
• Modify, suspend, or discontinue features at any time
• Update the Service to improve functionality or security

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATTICE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Lattice and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Texas. You waive your right to a jury trial and to participate in class actions.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of subscription fees
• At our sole discretion, with or without cause

Upon termination, your right to use the Service will cease immediately. We may delete your account and data, subject to our data retention policies.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending an email notification for significant changes

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
